Content Protection, Ownership & Licensing (Important for Media Work)

Because we are a media production and events company, protecting creative assets and respecting intellectual prBecause we are a media production and events company, protecting creative assets and respecting intellectual property is central to our operations. Key practices and rules: Ownership & Client Materials: Client-provided materials (logos, footage, music, scripts) remain the client’s property unless explicitly transferred in a written agreement. Nexel retains ownership of our pre-existing proprietary assets, templates, and tools used to produce content (unless otherwise agreed in writing). Delivered & Produced Content: By default, final deliverables created for a client are licensed to the client under the terms set out in the project agreement or contract. The contract will specify whether rights are exclusive, perpetual, territorial limits, and permitted uses (e.g., broadcast, web, social). Unless a different arrangement is written in the contract, Nexel retains the right to use non-confidential deliverables for portfolio, marketing, and promotional purposes (for clarity: this does not apply to confidential or embargoed content). Demonstration & Portfolio Use: If you require that we do not showcase or share delivered work publicly, you must notify us in writing and include a corresponding clause in the contract or NDA. We will respect reasonable restrictions and will not use embargoed content for promotion without explicit written permission. Raw Footage & Masters: Raw footage, unedited masters, and source material will be handled and stored according to the retention schedule in your contract. By default, Nexel may retain raw footage for a limited period (e.g., 30–180 days) to allow for revisions, subject to contract terms. Extended archival storage is available for an additional fee and by prior agreement. Raw footage is considered sensitive and will not be publicly released without client permission. Licensing Third-Party Materials: If your project includes third-party materials (music, stock footage, fonts), you must provide appropriate licenses or authorize Nexel to obtain them on your behalf. Nexel is not responsible for unauthorized third-party materials provided by clients. Usage Restrictions & Watermarking: Content delivered under a license must not be altered or removed in violation of the license terms (e.g., removing watermarks placed for review purposes). If Nexel provides watermarked drafts, final assets will be delivered watermark-free after full payment and acceptance of deliverables. Attempts to remove watermarks, metadata, or rights management protections without permission are prohibited. Confidential Projects & NDAs: For confidential or sensitive content (product launches, embargoed events, VIP footage), we strongly recommend a written Non-Disclosure Agreement (NDA). Where NDAs or contract confidentiality clauses exist, Nexel will treat project materials as confidential and implement additional safeguards. Content Security Measures: Access controls: Only authorized Personnel and contracted vendors with a legitimate need will access client media. Encrypted transfer and storage: We use industry standard encryption for data in transit and at rest with our hosting and storage providers. Secure delivery: Final deliverables are shared via secure links or private file transfer systems, and where requested, with password protection or expiring links. Access logging and audit trails: We maintain logs of who accessed or downloaded sensitive assets when feasible. Breach response: In the unlikely event of a breach, Nexel will notify affected parties and authorities as required by applicable law and contract terms. Moral Rights & Credits: Where applicable, credits and on-screen acknowledgements will be provided per the contract. Clients agree not to remove agreed creator credits where required by applicable moral rights laws unless a written waiver is provided. operty is central to our operations. Key practices and rules:
